Clifford S. Adams

Formerly the Chief Operating Officer and Executive Vice President of Robert Mondavi Winery where Mr. Adams oversaw the company's profitable growth from a privately owned winery to a world renowned public company. Previously, Mr. Adams served as Chief Executive Officer and Chairman of Congdon Orchards and Congdon Development Co. Mr. Adams also served as President and CEO of Quadlux, which developed and patented the ability to cook food with light.

Richard J. Bradley
Bradley Holdings Limited, Chairman

Mr. Bradley has broad operating experience with a particular focus on consumer products, retail and restaurants. He is currently Chairman and President of Bradley Holdings investing in venture transactions, commercial real estate, hotels and restaurants. Mr. Bradley was chairman of No Boundaries Limited, the owner and developer of properties in Seattle; and a limited partner in Compadres Restaurants, owner and operator of restaurants in California and Hawaii. Previously, Mr. Bradley was a founder and served as chairman and president of Victoria Station, owner-operator of 105 restaurants in the U.S., Canada and Japan; chairman and CEO of CondoTech, Inc., managing commercial buildings, condominiums, hotels, and resort properties in Hawaii and he owned two multi-unit retail companies - Benetton Stores and Polo/Ralph Lauren Stores. Mr. Bradley serves as an advisor to several firms: Pomare, Ltd. (Owner of Hilo Hattie stores); Athleta, Inc.; WineTasting.com; and Carneros Inn. Additionally, he is or was on the following: Cornell University Hotel Society, Hotel School Dean's Advisory Council and Real Estate Council; former member Young Presidents' Organization; current member of World Presidents' Organization; the Chief Executives Organization; and the Urban Land Institute; trustee, member of Executive Committee and Chair of Audit Committee of the Culinary Institute of America; former trustee of the American Center for Wine, Food and the Arts (COPIA), and St. Helena Hospital Foundation.

John G. Chiles

Mr. Chiles had a 32 year career as an investment banker at Dean Witter Reynolds and at Jefferies & Company, where he was responsible for billions of dollars in financings and M&A transactions. In over 150 engagements and advisory assignments, he acted as lead agent, advisor and/or a principal to companies in a wide variety of industries. During the course of his career he participated in or led industry-focused investment banking units in the energy/natural resources, consumer, business services/technology and software industries. In addition, he completed financing, M&A, or restructuring transactions in numerous industries including business services, internet, e-commerce, printing, cable television/media, specialty retail, defense technology, oil and gas, alternative energy, real estate, distribution (multiple verticals), airlines, financial services and public utilities.

He managed Jefferies & Co.'s Venture Capital activities (Jefferies Venture Capital Fund I , "JVC" ) for a number of years and participated directly as a principal in a number the JVC companies alongside the Fund. In addition to being the senior manager of JVC, Mr. Chiles served as a member of the Board of Directors of a number of JVC's portfolio companies. He was a senior member of the Jefferies Financial Sponsors Group with coverage responsibility for some of the leading private equity firms in the country including TPG, The Baupost Group, Hellman & Friedman, Genstar Capital, Golden Gate Capital, Huntsman Gay Global Capital, GI Partners, Gryphon Investors, TSG Consumer, Lampe Conway, Weston Presidio, Windjammer Capital, and Industrial Growth Partners.

Since his retirement from Jefferies at the end of 2010, Mr. Chiles' primary business focus has been as Lead Director, strategic advisor and business development leader for BirchStreet Systems, Inc., the leading Procurement to Pay SaaS solutions provider to the Hospitality Industry.

Mr. Chiles received a BA in Economics and Political Science from the University of California, Santa Barbara, and an MBA from the University of San Francisco. He holds Series 7, 24, and 63 FINRA licenses.

Roger Goodan

Mr. Goodan has deep experience in the energy field and has been involved in the publishing business. He held senior executive positions in operations, finance, research, marketing and sales in the United States, Europe and Japan for Schlumberger, a $12 billion oilfield services company. Mr. Goodan serves as an advisor to several firms: The Hydril Company, Rustic Canyon Venture Fund, The Tribune Company, Times Mirror Company. Additionally, he was on the following: Stanford University Department of Athletics Board, Boy Scouts of America - Sam Houston Council, Offshore Energy Center.

William H. Hasler

Mr. Hasler serves on the boards of directors of numerous companies, including Stratex Networks, Ditech Networks, Mission West Properties, and Genitope Corporation. Most recently he was Chairman of the Board of Solectron Corporation, a global electronics manufacturing company, prior to its acquisition by Flextronics. He is a trustee of the Schwab Funds. Mr. Hasler was Dean and Department Chair of the Walter A. Haas School of Business at the University of California, Berkeley from 1991-1998. Prior to his University service, Mr. Hasler had a long and distinguished career at KPMG where he was Vice Chairman and Director of Management Consulting. Mr. Hasler received a B.A. from Pomona College and an M.B.A. from Harvard University.

Terri L. Kwiatek

Ms. Kwiatek has significant experience in all aspects of equipment financing and leasing gained during her 23 year career with Bank of America. She was a Managing Director and managed the Secondary Markets & Trading Group at BofA from 1982 until she retired in 2001. In that role she directed a wide variety of secondary market transactions totaling over $25 billion. From 1978 to 1982, Ms. Kwiatek had the responsibility for arranging leveraged lease and double dip financings for capital equipment and facilities for major international companies. Previously, Ms. Kwiatek worked for Continental Bank from 1973 through mid 1978 in the commercial lending and economic research areas. She has an MBA from the University of Chicago and a BS in Business from the University of Colorado. She is currently Vice Chairman of the Board of the Cancer Prevention Institute of California (formerly NCCC) and on the Board of the Community Music Center.

Robert E. Mellor
Building Materials Holding Corporation (NASDAQ: BMHC) Former Chairman, President and Chief Executive Officer

Mr. Mellor has deep knowledge of construction and building products industries and formerly was chairman, President and CEO of BMHC, a financial holding company that invests in the residential construction industry, is a distributor of building materials, a manufacturer of building components and frames homes for production homebuilders nationwide. Mr. Mellor was formerly executive vice president and a director of DiGiorgio Corporation and of counsel in the law firm of Gibson, Dunn & Crutcher.. He is a member of the State Bar of California and the State Bar of Texas. Mr. Mellor serves as an advisor to several firms: Doeur d'Alene Mines Corporation, Monro Muffler Brake, Inc., The Ryland Group, Inc. Additionally he was on the following: Director of the California Chamber of Commerce; board of councilors of Save-the-Redwoods League, Policy Advisory Board of the Harvard Joint Center for Housing Studies and a director of the Dedman School of Law at Southern Methodist University. He received a BA from Westminster College and a JD from the Southern Methodist University, Dedman School of Law.

Philip F. Otto

Mr. Otto has held senior executive positions including chairman of the board, chief executive officer, and chief financial officer in high technology companies serving diverse markets worldwide. He has also provided financial, strategic, M&A and board services to a broad array of technology and growth-oriented investors and companies ranging from a publicly-traded wireless communications service provider to a publicly-held gaming equipment manufacturer.

Currently, Mr. Otto serves on the boards of Opnext, Inc., a public company in the fiber optics equipment business, and Charisela, Inc., an early-stage company manufacturing specialty chemical reagents for drug research and clinical laboratories. Previously, Mr. Otto was CEO of Schilling Robotics, Inc., a privately held manufacturer of subsea control systems, remotely operated vehicles, and other high technology equipment for offshore oil exploration and production. Mr. Otto was CEO and a Director of Optical Communication Products, Inc., a fiber optic component supplier, until its acquisition by Oplink Communications, Inc. He also served as Chairman and CEO of MedioStream, Inc., a multi-media software company headquartered in Silicon Valley and Shanghai. Prior to that, he served as Chairman and CEO of California Microwave, Inc., a publicly-traded supplier of microwave and satellite communications equipment. He holds a B.S. in engineering from Yale University and an MBA from Harvard Business School.
